Welcome to Omnishi, your proactive workplace intelligence platform that connects your tools, indexes your organizational knowledge, and delivers AI-powered answers where your team works.

The website located at omnishi.ai (the "Site") and the desktop application (together herein known as the "Platform") are a copyrighted work belonging to Omnishi Ltd. (the "Company", "us", "our", and "we"). Certain features of the Platform may be subject to additional guidelines, terms, or rules, which will be posted on the Platform in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

These Terms of Use ("Terms") form a binding agreement between you and Omnishi, and they govern your use of the Platform.

By registering to the Platform or using it, you indicate that you accept and agree to these Terms and the Privacy Policy that is an integral part of them. If you do not agree to these Terms in their entirety, you must cease your use of the Platform.

Key Provisions

  • When you use the Platform, you must comply with our instructions, adhere to any applicable law and refrain from using the Platform in a manner prohibited by these Terms.
  • We respect your privacy. Here is a link to our Privacy Policy.
  • We own all rights, title and interest in and to the Platform. We do not own your data and content indexed from your connected tools.
  • We may take measures to block your access to and your use of the Platform, if we, in our discretion, determine that you've violated these Terms or misused the Platform.
  • You assume full and exclusive responsibility for your use of the Platform. We and our staff will not be liable for any direct or indirect damage suffered by you or anyone acting on your behalf, arising from or related to the Platform or your use of it.
  • These Terms are governed by the laws of Israel and are subject to the jurisdiction of Israeli courts.
  • We may occasionally amend these Terms. Your continued use of the Platform indicates your consent to the amended terms.

About the Platform

The Platform provides a proactive workplace intelligence service that connects your existing tools (such as Google Drive, Slack, Notion, Jira, and others), indexes organizational content, and delivers AI-powered search, knowledge governance, meeting intelligence, and proactive knowledge surfacing.

In order to use the Platform, you must register using your email address or through your Google account. Organizations can invite team members to join their workspace.

Use of the Platform

Subject to these Terms, we grant you a non-exclusive, limited, revocable, non-transferrable, nonsublicensable, unassignable license to access and use the Platform for your organization's internal business purposes.

Use of the Platform requires Internet connectivity on your device. You will bear the costs of such Internet connection.

Third-Party Integrations

The Platform allows you to connect third-party services (such as Google Drive, Slack, Notion, and others) via OAuth authorization. By connecting a third-party service:

  • You authorize Omnishi to access and index content from that service within the scopes you explicitly approve.
  • You represent that you have the authority to grant such access on behalf of your organization.
  • You may disconnect any integration at any time through your dashboard settings, which will stop further syncing and allow you to request deletion of the indexed data.
  • Your use of third-party services remains subject to those services' own terms and policies.

Restrictions

You may not, in any way, use the Platform if you are under 16.

When using the Platform, you must comply with these Terms and adhere to any applicable law. In addition, you may not:

  • Attempt to circumvent, bypass or deactivate security or protection measures of the Platform;
  • Use the Platform in order to develop or create a product or application similar to, or competing with, the Platform or us;
  • Attempt to compromise information security in the Platform or in any network or server used by us;
  • Attempt to access the Platform or download any information in an automated or mechanized process beyond normal API usage;
  • Attempt to activate or access features or capabilities that are undocumented or deactivated in the Platform;
  • Attempt to engage in reverse-engineering, disassembling or decompiling of the Platform;
  • Use the Platform in any manner that may give rise to a criminal offense, civil tort, infringement or violation of the rights of any third party;
  • Attempt to burden or interfere with the operation of our systems related to the operation of the Platform;

We may take measures to temporarily block your access to the Platform or permanently delete your account, without prior notice, if we, in our sole discretion, believe that you violated these Terms or have misused the Platform.

Privacy

We respect your privacy. To better understand how we collect and use your information for the purpose of providing you with our services, please read our Privacy Policy, which is an integral part of these Terms.

Intellectual Property

All rights, title and interest in and to the Platform, including all content therein and all patents, copyrights, trademarks, trade secrets and other intellectual property rights, are the exclusive property of Omnishi and its licensors. This includes our databases, algorithms, AI models, and the Platform's design, graphics, computer code, and "look and feel".

We do not claim ownership over the content indexed from your connected tools or knowledge claims created by your organization. Your data remains yours.

You may not use any name, mark or logo that is similar to our marks and logos. You must refrain from any action or omission that may dilute or damage our goodwill.

Availability, Changes and Discontinuation

We will make efforts to have the Platform available and operate without errors, on a 24/7 basis. However, the availability, quality and functionality of the Platform depends on various factors, including software and hardware components and communication networks, which are provided by third parties. These factors are not fault-free, and we do not warrant that the Platform will operate without disruption, errors or interruptions.

We may, at any time and without prior notice, change the layout, design, scope, features or availability of the Platform. We may also suspend or discontinue the operation of the Platform, at any time, in our sole discretion.

Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. You agree and acknowledge that the use of the Platform is entirely, or at the maximum permitted by applicable law, at your own risk. To the maximum extent permitted by applicable law, we and our staff shall not be liable for any indirect, special, punitive, exemplary, statutory, incidental or consequential damage, or any similar damage or loss (including loss of profit and loss of data), arising from or in connection with the Platform, its use, or reliance thereon.

AI-generated answers, knowledge claims, and search results are provided for informational purposes only. Omnishi does not guarantee the accuracy, completeness, or reliability of AI-generated content. You should verify critical information independently.

Termination

You may terminate these Terms at any time by permanently ceasing use of the Platform and requesting deletion of your account. We may terminate these Terms at any time by providing an appropriate message through the Platform or by blocking your use of the Platform.

Provisions in these Terms that by their nature should survive termination or expiration will remain in full force and effect, including: Privacy, Intellectual Property, Disclaimers, Governing Law and Jurisdiction.

Indemnification

To the maximum extent permitted by law, you will indemnify, defend and hold harmless us and our staff, at your own expense and immediately after receiving a written notice thereof, from and against any damages, losses, costs and expenses, including reasonable attorney's fees, resulting from any plea, claim, allegation or demand, arising from or in connection with your breach of the Terms.

Governing Law and Jurisdiction

Regardless of your place of residence or where you access or use the Platform from, these Terms and your use of the Platform will be exclusively governed by and construed in accordance with the laws of the state of Israel, excluding any otherwise applicable rules of conflict of laws.

Any dispute, controversy or claim which may arise out of or in connection with these Terms or the Platform, shall be submitted to the sole and exclusive jurisdiction and venue of the competent courts located in Tel Aviv district, Israel.

General

These Terms do not create any agency, partnership, employment, or other type of legal relationship between you and Omnishi, other than that of two independent contractual parties. You may not assign or transfer your rights and obligations under these Terms without our prior written consent. We may assign these Terms in their entirety upon a merger, acquisition, change of control or the sale of all or substantially all of our equity or assets, upon notice to you.

These Terms constitute the entire agreement between you and Omnishi concerning the subject matter herein and supersede all prior and contemporaneous negotiations and oral representations, agreements and statements.

Changes to These Terms

We may change these Terms, in whole or in part, at our own discretion and at any time, and will provide you a notification thereof through the Platform. Your continued use of the Platform after being informed of the changes indicates your consent to them. If you do not consent to the amended Terms, you must permanently cease use of the Platform.
